Agreement to these terms
These Terms of Service (the “Terms”) are a binding agreement between you and xRepAI, Inc. (“xRepAI”, “we”, “us”), the company that provides the xRep AI SDR product and this website (together, the “Service”). By creating an account, installing the widget, or otherwise using the Service, you agree to these Terms. If you are using the Service for an organization, you represent that you have authority to bind that organization, and “you” means that organization.
If you do not agree to these Terms, do not use the Service.
The Service
xRepAI is an AI sales development representative (“AI SDR”) that engages visitors on your website by text, voice, or video. It answers questions, qualifies and enriches leads, and books meetings on your behalf. The assistant is named Lina.
We may add, change, or remove features over time. The Service is a tool that assists your sales process; we do not guarantee any particular number of leads, meetings, conversions, or revenue.
Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the information you provide, for keeping your account credentials secure, and for all activity under your account. Notify us promptly at [email protected] if you suspect unauthorized use.
Plans, billing, and renewal
We offer a Free plan and paid plans (currently Pro at $149 per month and a higher tier at $499 per month). Current plans and prices are shown on our pricing page and may change over time.
- Paid plans are billed in advance on a recurring monthly basis and renew automatically until cancelled. You authorize us and our payment processor to charge your payment method for each renewal.
- Fees are stated in US dollars and are exclusive of taxes, which you are responsible for.
- If a payment fails, we may retry the charge and may suspend or downgrade paid features until payment is received.
- We may change prices or plan features. We will give reasonable advance notice of a price increase that would affect your next renewal.
Cancellation and refunds
You can cancel a paid plan at any time, and you will keep access to paid features through the end of the billing period you have already paid for. Payments are non-refundable except where required by law. For full details, see our Refund & Cancellation Policy.
Acceptable use
Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms. We may suspend or terminate access for activity that violates it.
Your content and data
You retain ownership of the content, prompts, knowledge-base material, and data you provide (“Customer Content”). You grant us a worldwide, non-exclusive license to host, process, and use Customer Content as needed to operate and improve the Service and to provide support.
Where xRepAI processes personal data about your website visitors on your behalf, we act as your processor under our Data Processing Agreement, and our handling of data is described in our Privacy Notice and Cookie Policy. You are responsible for providing any notices to, and obtaining any consents from, your visitors that the law requires.
AI output and no professional advice
Lina is an AI system. Its responses are generated automatically and can be inaccurate, incomplete, or out of date. You are responsible for reviewing AI output before relying on it, and for any decisions or communications made using it.
The Service does not provide legal, financial, tax, medical, or other professional advice. AI output is provided “as is” and should not be treated as a statement by xRepAI.
Intellectual property
The Service, including its software, models configuration, user interface, “xRep” and “Lina” branding, and all related intellectual property, is owned by xRepAI and its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription.
If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without restriction.
Third-party services and integrations
The Service may integrate with third-party products, such as your CRM, calendar, or messaging tools. Your use of those products is governed by their own terms, and we are not responsible for them. If a third-party service changes or becomes unavailable, related features of the Service may be affected.
Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI output will be accurate.
Limitation of liability
To the maximum extent permitted by law, xRepAI will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the liability. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
Indemnification
You will defend, indemnify, and hold harmless xRepAI from any claims, damages, and costs (including reasonable legal fees) arising out of your Customer Content, your use of the Service, or your violation of these Terms or applicable law.
Suspension and termination
You may stop using the Service and cancel at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to others or to the Service.
On termination, your right to use the Service ends. We will make Customer Content available for a reasonable period on request and will then delete or de-identify it in the ordinary course, except where we must retain it by law.
Changes to the Service and these Terms
We may update these Terms from time to time. If we make a material change, we will update the “last updated” date and, where appropriate, give additional notice. Your continued use of the Service after a change takes effect means you accept the updated Terms.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. You and xRepAI agree to first try to resolve any dispute informally by contacting us. If that does not resolve it, the state and federal courts located in Delaware will have exclusive jurisdiction, and you consent to venue there.
General
These Terms, together with the policies they reference, are the entire agreement between you and xRepAI about the Service. You may not assign them without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. Neither party is liable for delays caused by events beyond its reasonable control.
